Article XII 2. APPLICATION OF RECOVERED AMOUNT

(a) Partial Loss:

In the event the VESSEL shall be damaged by any insured cause whatsoever prior to acceptance and delivery thereof by the BUYER and in the further event that such damage shall not constitute an actual or a constructive total loss of the VESSEL, the SELLER shall apply the amount recovered under the insurance policy referred to in Paragraph 1 of this Article to the repair of such damage satisfactory to the BUYER and Classification Society and other institutions or authorities as described in the Specifications without additional expenses to the BUYER, and the BUYER shall accept the VESSEL under this Contract if completed in accordance with this Contract and Specifications and not make any claim for any consequential loss or depreciation.

注意：买方要求发生部分损失时，建造方修复的结果必须满足买方的要求。船舶建造是以技术规格书和船级社的要求进行，而非以买方的要求，通常船舶发生部分损失时，如发生火灾，往往买方要求全部更换有时会要求更换船体结构，会给建造方带来巨大困难。

（2）全损时，买方有权取消合同，卖方将返还买方已支付的节点款，不含利息。

合同取消，卖方返还买方已支付的预付款，但不含利息，这有多大的道理？全损不是有船舶建造险可以赔付吗，为什么不退利息？其实也确实没有什么道理，不过是希望发生全损时能双方分担风险。而且建造方收到的预付款不足于支付建造方的资金投入，建造方也需要向银行贷款完成船舶的建造。船舶建造险是不会赔付建造方的贷款利息。

利息能要到就坚持，不能要到的话双方分担利息也能接受。

（3）关于保险的责任

多数买方不会对船舶建造险以及为员工购买的人生险等保险的责任提出质疑，毕竟这是建造方为属于自己的财产购买的保险。或许是考虑到生产事故，也出现买方要求建造方为员工投保，而且要求保险放弃向合同买方追索的权利。但这样的要求写到合同里，并说服保险公司接受并写在保单里，似乎保险公司很难去接受，因为责任并不明确。
